Welcome to TIA Publishing, LLC. These Terms of Service ("Terms") govern your use of our website and publishing services. By using our services, you agree to these Terms. Please read them carefully.

1. Acceptance of Terms

By accessing our website at www.tiapublishingllc.com or engaging our publishing services, you agree to be bound by these Terms of Service, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

2. Services Overview

TIA Publishing, LLC provides professional book publishing services, including but not limited to:

  • Manuscript evaluation and assessment
  • Developmental, copy, and proof editing services
  • Professional cover design for print and digital formats
  • Interior book formatting and layout
  • ISBN registration and copyright filing
  • Amazon KDP account setup and management
  • Book distribution through Amazon and affiliated retailers
  • SEO optimization and metadata management
  • Optional marketing and promotional services

3. Publishing Agreement

3.1 Service Packages

We offer multiple publishing packages with different service levels and pricing. Specific services included in each package are detailed in our written Publishing Agreement.

3.2 Written Agreement Required

A formal, written Publishing Agreement must be executed between you (the "Author") and TIA Publishing, LLC before services commence. The Publishing Agreement will specify:

  • Services to be provided
  • Payment terms and schedule
  • Timeline and milestones
  • Royalty distribution terms
  • Rights and responsibilities of both parties
  • Termination conditions

3.3 Payment Terms

Payment terms vary by package and will be specified in the Publishing Agreement. Standard payment structure includes an initial deposit to commence services, with remaining balance due at specified milestones. All fees are non-refundable once services have begun, except as specified in Section 10 (Refund Policy).

4. Copyright and Intellectual Property Rights

4.1 Author Retains Copyright

You retain 100% copyright ownership of your manuscript and all creative content. TIA Publishing, LLC does not claim any ownership rights to your intellectual property.

4.2 Limited License to TIA Publishing

By engaging our services, you grant TIA Publishing, LLC a limited, non-exclusive license to:

  • Edit, format, and design your manuscript for publication
  • Publish and distribute your book through Amazon and affiliated platforms
  • Use your book's cover image and metadata for promotional purposes related to your book
  • Display your book on our website as part of our success stories (with your approval)

This license terminates upon completion of services or termination of the Publishing Agreement, except for books already distributed which will remain available for sale.

4.3 TIA Publishing Work Product

TIA Publishing, LLC retains copyright to the specific design elements we create (cover design layout, interior formatting templates). However, you receive full rights to use these designs for your book in perpetuity.

4.4 Imprint

Books published through TIA Publishing, LLC will bear the TIA Publishing imprint and ISBN. This does not affect your copyright ownership but identifies TIA Publishing as the publisher of record.

5. Royalties and Revenue Sharing

5.1 Royalty Rate

You receive 90% of net receipts from book sales after Amazon or other platform fees are deducted. TIA Publishing, LLC retains 10% for distribution management and administrative costs.

5.2 Payment Schedule

Royalty payments are distributed quarterly (every three months) via direct deposit or check, 60 days after the end of each quarter. Detailed sales reports will be provided with each payment.

5.3 Minimum Payment Threshold

Royalty payments will only be issued when the accumulated amount reaches $25. Amounts below this threshold will roll over to the next payment period.

6. Author Responsibilities and Warranties

6.1 Original Work

You warrant that:

  • You are the sole author and copyright owner of the manuscript (or have obtained all necessary rights)
  • The work is original and does not infringe upon any copyright, trademark, or other intellectual property rights
  • The work does not contain defamatory, libelous, or unlawful content
  • You have obtained necessary permissions for any third-party content included in the manuscript

6.2 Manuscript Quality

You agree to provide a complete, reasonably polished manuscript. While we provide editing services, the manuscript should be in a condition suitable for professional editing (not a first rough draft).

6.3 Timely Feedback

You agree to provide timely feedback and approvals at project milestones. Delays in author feedback may extend the project timeline.

6.4 Indemnification

You agree to indemnify and hold harmless TIA Publishing, LLC from any claims, damages, or expenses arising from breach of these warranties, including but not limited to copyright infringement claims.

7. TIA Publishing Responsibilities

TIA Publishing, LLC agrees to:

  • Provide professional publishing services as outlined in the Publishing Agreement
  • Treat your manuscript as confidential information
  • Maintain industry-standard quality in all deliverables
  • Publish and distribute your book through agreed-upon platforms
  • Provide accurate sales reporting and timely royalty payments
  • Maintain your book's availability for sale (unless you request removal)

8. Project Timeline

Standard project timelines vary by package (typically 4-12 weeks from manuscript submission to publication). Specific timelines will be outlined in the Publishing Agreement. Timelines are estimates and may be affected by factors including manuscript complexity, author responsiveness, and platform requirements.

9. Revisions and Changes

9.1 Included Revisions

Each service package includes a specified number of revision rounds. The Publishing Agreement will detail what is included.

9.2 Additional Revisions

Revisions beyond those included in your package may incur additional fees. Rates will be provided before work begins.

9.3 Post-Publication Changes

Updates to published books (content corrections, cover changes) can be made but may incur fees for republishing and file preparation.

10. Refund Policy

10.1 General Policy

All fees are generally non-refundable once services have commenced, as we begin allocating resources and assigning team members immediately.

10.2 Refund Eligibility

Refunds may be considered in the following circumstances:

  • Before Services Begin: Full refund if you cancel before any work has started (within 72 hours of agreement execution)
  • Service Quality Issues: If we fail to meet agreed-upon quality standards and cannot remediate the issues
  • Timeline Breaches: If we substantially exceed agreed timelines due to our fault (not including delays caused by author feedback)

10.3 Partial Refunds

If services are partially completed, any refund will be prorated based on work completed.

11. Termination

11.1 Termination by Author

You may terminate the Publishing Agreement with 30 days' written notice. You will receive all work completed to date but will not receive a refund for services already rendered.

11.2 Termination by TIA Publishing

We reserve the right to terminate the agreement if:

  • Payment terms are not met
  • You breach these Terms of Service
  • Your manuscript contains illegal content
  • You fail to provide necessary feedback for more than 60 days

11.3 Post-Termination

Upon termination, you retain all rights to your manuscript and may use any completed work. Books already published will remain available unless you request removal, in which case they will be unpublished within 30 days.

12. Book Removal and Unpublishing

You may request removal of your book from distribution at any time by providing written notice. Upon receipt:

  • We will unpublish your book within 30 days
  • The book will no longer be available for purchase
  • You will receive any outstanding royalty payments
  • You may republish the book independently or with another publisher

13. Limitation of Liability

To the maximum extent permitted by law:

  • TIA Publishing, LLC's total liability shall not exceed the amount you paid for services
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We do not guarantee specific sales results or bestseller status
  • We are not responsible for third-party platform changes (e.g., Amazon policy changes)
  • We are not liable for content-related claims (covered by your warranties)

14. No Guaranteed Results

While we provide professional publishing services, we make no guarantees regarding book sales, reviews, rankings, or commercial success. Success depends on many factors including market conditions, genre popularity, marketing efforts, and content quality.

15. Prohibited Uses

You may not use our services to publish content that:

  • Infringes on intellectual property rights
  • Contains illegal, defamatory, or libelous material
  • Promotes violence, hatred, or discrimination
  • Contains child exploitation material
  • Violates any applicable laws or regulations
  • Misrepresents authorship or plagiarizes other works

We reserve the right to refuse service or terminate agreements for prohibited content.

16. Confidentiality

We treat your manuscript and personal information as confidential. We will not share your work with anyone outside our publishing team without your consent, except as required to provide agreed-upon services (e.g., sending to contracted editors or designers under confidentiality agreements).

17. Third-Party Services

Our services involve third-party platforms (primarily Amazon KDP). You acknowledge that these platforms have their own terms of service and policies that apply to your book's distribution. We are not responsible for changes to third-party platform policies or services.

18. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after changes constitutes acceptance of modified terms. Existing Publishing Agreements will be governed by the terms in effect at the time of agreement execution.

19. Dispute Resolution

19.1 Informal Resolution

In the event of any dispute, we encourage you to contact us first to seek an informal resolution.

19.2 Binding Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in [Jurisdiction], and the decision of the arbitrator shall be final and binding.

19.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits.

20. Governing Law

21. Severability
